Acceptance of the Agreement and Electronic Signature

Three things that materially affect these terms

Please read this section before using the app. Three things materially affect these terms: the free tier allows five successful conversions in total and Opus membership is unlimited (see 'Free quota and conversion count'); payment is collected and managed by Apple, and cancellation and refunds follow Apple's procedures and the mandatory consumer protection rules of your jurisdiction (see 'Payment, cancellation and refunds'); we impose no arbitration clause and do not ask you to waive procedural positions such as class actions or injunctive relief (see 'Governing law and dispute resolution').

This End User License Agreement (EULA) and these Terms of Service (together, the "Agreement") form a legally binding and complete contract between you (the "User") and the CineX developer ("CineX") regarding access to and use of the CineX mobile application (the "Software") and related services.

Application of the Agreement and electronic contracting: this Agreement applies to your download, installation, and use of CineX. On first launch CineX presents an introduction screen with a "Agree and Continue" button and a link to the Privacy Policy; that button expresses your agreement to the Privacy Policy. This Agreement itself does not present a separate "I Agree" control and does not require an account or any identity information. Accordingly, whether and to what extent this Agreement is contractually binding on you is determined by applicable law governing electronic contract formation, notice, and assent. Regardless of the contractual effect of this Agreement, rights granted to you directly by applicable law and obligations CineX bears under that law are unaffected.

If you agree to this Agreement on behalf of an entity (such as a company or other organization), you represent and warrant that you have the legal authority to bind that entity to this Agreement. If you do not agree with any part of these terms, you must immediately stop using the Software and permanently delete it from your devices.

Account, Data, and Privacy

Non-Custodial Service; You Are Solely Responsible for Your Data

Allocation of storage and transmission risk: this service runs locally on your device. Apart from the three Keychain records described in Where Your Data Is Stored, which Apple syncs between your own devices, the service provides no other cloud sync. You acknowledge that CineX is not a data custodian (Data Custodian) and that you are solely responsible (Solely Responsible) for backing up, migrating and preserving the integrity of your data.

Under no circumstances will CineX be obligated to restore, or liable to compensate you for, data that is lost, corrupted, or inaccessible as a result of device damage, system failure, user error, or events beyond our control. You acknowledge that the risk of data loss is part of the consideration for your use of the Service. We do not keep a copy of your data and have no "back door" access to it, so we cannot provide password resets, data recovery, or profile recovery.

You must be at least thirteen years old (or the minimum age set by your jurisdiction) to sign in with Apple and create a local profile. Users below that age should use the app with a parent or legal guardian present. When a parent or legal guardian signs in or creates a profile for a minor, they should read these terms together with that minor so that both understand them.

Where Your Data Is Stored

This app processes and stores your data locally on your device: your profile, purchase records, media library metadata, transcoding queue and preferences are all kept in the app sandbox on your device, and the app's normal operation does not give the developer a copy of, or a remote read path to, that content. The only things Apple syncs between your own devices are three Keychain records: the free-allowance counter (a single integer), the opaque user identifier returned by Sign in with Apple, and a marker recording that you have deliberately signed out (whose only value is “yes”). None of the three contains media content; we neither receive them nor can read them.

Where your data is stored: your profile and purchase records, the conversion queue and playback progress, your media folder records, conversion outputs, intermediate subtitle and segmentation files, and thumbnail caches all live in this app's own storage area on this device (the space the system sets aside for each app individually, which other apps cannot read). All of the above exist on your device together with the app and are removed when you uninstall it; we hold no copy. Three further Keychain items survive uninstalling and are synced by Apple between your own devices through iCloud Keychain: an integer counting successful conversions on this device (used to enforce the free allowance), the opaque user identifier returned by Sign in with Apple, and a marker recording that you have deliberately signed out (whose only value is “yes”). None of the three contains media content; we neither receive them nor can read them.

How the Transcoding Queue Is Saved

To keep transcoding and playback smooth, the app uses a memory-first recording strategy. Your transcoding queue and playback progress are tracked in device memory in real time and written to local storage at specific points (for example, when a transcoding task changes state or when you switch apps).

You should understand that in extreme situations (including but not limited to a sudden loss of power, the system force-quitting the app, an unexpected crash, or memory pressure), temporary data that has not yet been written to storage — typically the last few seconds to a few minutes of activity — may be lost. The developer is not obligated to restore small-scale rollbacks or losses caused by such events or by system behavior.

Local Storage and Caches

To speed up loading, the app creates a local database and thumbnail cache files on your device. The app may use a certain amount of device storage, depending on the size of your media library and the number of transcoded outputs and thumbnails.

iOS may automatically clear some cache files when storage runs low, which can mean that thumbnails and other cached resources must be regenerated the next time you open the app. This is normal operating-system behavior, not an app failure.

Deleting Your Local Profile and Data

You can delete your local profile inside the app at any time. What deletion destroys is that profile identity itself: your display name and avatar, together with the Sign in with Apple identifier held in this device's Keychain and in iCloud Keychain. It has nothing to do with your media files — the conversion queue, playback progress, media folders and converted output do not belong to an account, are not touched by deletion, and are not deleted as a result. The current version does not revoke the Sign in with Apple authorization in your Apple Account on your behalf; to revoke it, stop authorising CineX in your Apple Account settings. The purchase is a one-time transaction: deleting your profile only removes the profile identity on this device, while the purchase itself is held by Apple and is restored when you sign in again — the permanent unlock is not lost.

Irreversibility: deletion is permanent. Once confirmed, your local profile (display name and avatar) and the Sign in with Apple identifier are cleared immediately and cannot be recovered by any means. Nothing else on the device is affected: the conversion queue, playback progress, media folder records and converted output never belonged to an account, and deletion does not touch them. The free-quota counter is deliberately kept — otherwise 'delete and re-sign-in' would hand out a fresh quota. Liability waiver: the developer bears no duty to restore data, and no liability for data loss, where a user deletes their own local profile by mistake.

Zero-Access Architecture and Privacy Protection

Your video files and media library data exist only inside your device's app sandbox and are processed locally on the device; the current version provides no function by which the developer could remotely access, control or delete them (the three Keychain records sync only between your own devices, through Apple, and carry no content information at all). CineX is therefore neither a custodian of your video files and media library data nor directly responsible for the lawfulness, accuracy or copyright status of any material you process with the service.

No Telemetry, No Anonymous Statistics

CineX does not collect any usage statistics, telemetry, or aggregate data, and does not integrate any third-party analytics, tracking, or crash-reporting services. We do not learn your device's technical metadata, and we never touch your video files, subtitles, or media library content.

We do not use your content or your usage behaviour for any model training, algorithm improvement or benchmark reporting. Only three kinds of Apple system service are involved: first, transaction traffic between StoreKit and the App Store, handled directly by Apple; second, credential validation for Sign in with Apple and the opaque user identifier it returns; third, iCloud Keychain syncing of the three records (the free-allowance counter, the Sign in with Apple identifier, and the marker recording that you have deliberately signed out). None of the three contains any media content, and no data travels to a remote endpoint through any channel of ours.

Shared and Rental Device Liability

You may use CineX on a shared or public device. You are solely responsible for deleting the local profile and clearing the app's data before returning or transferring the device; deleting the profile inside the app also clears the Sign in with Apple identifier stored on that device and in iCloud Keychain. Before returning or transferring the device, also check and revoke this app's authorization under Settings → Apple ID → Sign In and Security → Apps Using Apple ID. CineX is not liable for any data exposure or unauthorised third-party access resulting from a failure to clean up local data properly on a shared device.

Scope of License

CineX grants you a non-transferable, non-exclusive license to use the Service on Apple-branded products that you own or control. The license is limited to using CineX's transcoding, playback, and media library management features on your devices.

Except to the extent applicable law permits, you may not disassemble, attempt to derive source code from, modify, or create derivative works of the Service, nor use automated tools (such as scripts or web crawlers) to interfere with its normal operation or intended use. The restrictions in this Agreement on reverse engineering, decompilation, extraction of source code, modification, or creation of derivative works do not apply to open-source components to the extent the applicable open-source license distributed with the Software grants those rights. For such components, the applicable open-source license controls to the extent of any conflict with this Agreement. This exception does not expand your rights in CineX proprietary code, trademarks, or other materials not provided under an open-source license.

Fees, Billing, and Cancellation Policy

Transactions Through Apple

You acknowledge that CineX does not process your payments and never touches any of your payment information. This product and in-app purchases run through Apple's commerce system: in most storefronts Apple Inc. is the merchant of record and handles collection, invoicing and refunds, while in certain storefronts Apple's arrangements may place a different affiliated entity in that role. Viewing, changing and refund requests are made through your App Store purchase history. Your transactions are governed by the Apple Media Services Terms and Conditions.

No-Refund Policy

For purchases completed through the App Store, refund requests and refund handling follow Apple's applicable purchase terms, refund procedures and the mandatory consumer protection laws of your jurisdiction. A refund does not happen automatically and must be requested from Apple; nothing in these terms limits any right of withdrawal, refund, remedy or other consumer right you hold that cannot be waived by contract.

CineX has no access to the billing information tied to your Apple ID and cannot process a refund on your behalf — refunds for App Store transactions are handled by Apple under its own policies. That does not limit your right, under the mandatory law of your jurisdiction, to seek withdrawal, a refund or any other remedy from the appropriate responsible party.

Price and Future Changes

This product is a one-time purchase: there is no auto-renewal, no recurring charge, and nothing to cancel. CineX may adjust the price for new purchases in the future, but completed purchases are unaffected — the permanent unlock you already obtained will not change or expire as a result of any price change.

Product and License Type

CineX is sold as a one-time purchase with permanent unlock, product identifier com.cinex.opus.lifetime. Once purchased, your Opus membership does not expire and does not renew automatically. Apart from this one-time purchase, we offer no other form of paid authorization, and we do not offer subscriptions. The exact benefits and price are those shown on the App Store product page; your purchase record is stored locally on your device.

Termination of the Service: if CineX decides to stop providing the Service or to stop supporting older versions of iOS, we will give advance notice using reasonable commercial efforts. Because we do not process any payments, purchases already completed and any refund requests at the time of termination are handled by Apple under the App Store's existing policies.

As to your statutory right of withdrawal in your jurisdiction: where digital content or a service falls within a statutory exception to the right of withdrawal, that exception applies only when the conditions required by applicable law are satisfied; where those conditions are not satisfied, your statutory right of withdrawal is unaffected. This clause does not exclude any statutory right that cannot be excluded by contract.

Free Allowance and Conversion Count

The free version lets you complete five conversions in total; Opus membership is unlimited. That single difference is the only difference: both tiers use the device's built-in hardware encoder and both handle the same containers, audio tracks and subtitle processing.

How the allowance is counted

A conversion is counted once, and only when it completes successfully: attempts that fail or that you cancel are not counted, and starting a retry does not by itself add a count, but a retry that later completes successfully counts as one conversion. Conversely, deleting a file that has already been produced does not restore a used conversion — what the quota measures is how many conversions you have used, not how many files you currently keep.

Where the allowance is kept, and its limits

The quota is held as a single integer in your Keychain and synced by Apple between the devices signed in with your own Apple ID, so one free quota covers all of your devices and reinstalling the app does not refresh it. Understand its limits: we have no control beyond those devices — if iCloud Keychain is off, or sync is momentarily unavailable, the counts on different devices may differ, and erasing a device or switching Apple ID restarts the count. CineX reads and updates the counter locally on your device, which is what makes the quota enforceable; but the developer runs no server that receives it and has no back end that can query your conversion count, so stricter cross-device verification is not possible. Your Opus membership entitlement follows your Apple ID: after switching devices, restore the purchase through the App Store and it takes effect again.

This Service offers no family sharing: Opus membership covers only the Apple ID that purchased it, on that account's own devices.

We will modify the number or measurement method of future free-tier conversions only for reasonable reasons such as legal or regulatory requirements, security, technical compatibility, abuse prevention, or sustainable operation of the Service, and will give clear notice before it takes effect to the extent applicable law requires. A change will not retroactively increase conversions already counted, nor reduce Opus membership benefits you have already obtained. Where applicable law requires notice on a durable medium, the ability to keep an unmodified version, or a right to terminate, we will comply with that law.

Rules for Using the Service and Content

Your use of the Service must comply with this Agreement and all applicable laws. You may use the Service only for lawful purposes such as personal media management and format conversion.

You agree that you will not:

The Service runs on your own device, and CineX has not built — and will not build — any means of remotely disabling the copy already installed. We likewise have no technical ability to withhold future versions or updates from a particular user or a particular device: the way the App Store distributes software gives us no such switch. Beyond your local profile and purchased entitlements, therefore, we hold no other measure we can enforce unilaterally. Where a material breach occurs, refunds and similar handling are carried out by Apple under App Store rules, which we do not perform on their behalf.

Without limiting the foregoing, CineX specifically reserves the right to take the measures described above if you breach any term of this Agreement.

The app does not request system permissions such as camera, photos, location, or local network access. When you choose a video or image, the system picker is used and runs outside the app, so the app does not gain access to your photo library or camera as a result.

License and Warranties for User Content

You represent and warrant that you hold sufficient authorization from the copyright owner or other rightsholder for all content you import or otherwise process in the Service — namely video files you already possess, including the audio and subtitle tracks inside them (together, "User Content").

Highly Confidential Content and High-Risk Environments

If you use the Service to process content that is treated as a trade secret or top secret, or that is protected by a strict non-disclosure agreement (NDA) — for example, unreleased film or video works — you bear all security risks alone. You acknowledge that CineX's security measures are limited to the standard sandbox and encryption protection provided by iOS and are not designed for military-grade or highly classified data security standards. CineX is not liable for any breach of contract or infringement arising from any disclosure of confidential information caused by device loss, shoulder surfing, or iOS system vulnerabilities.

Physical Environment Security

CineX provides only general-purpose encryption protection (relying on the iOS device lock and system sandbox protection). CineX is not liable for any breach of confidentiality obligations resulting from visual hacking, shoulder surfing, or physical theft or loss of the device when you use the app in public places, on shared devices, or in unmonitored physical environments. You are responsible for taking appropriate physical security measures in high-risk environments.

Commercial Use Beyond Personal Scope

Standard license limits: the license granted by this EULA is an individual and prosumer license. If you use the Service in a commercial environment that must satisfy specific industry security audits or compliance certifications, you acknowledge that the Service may not meet that environment's insurance or data security requirements.

Allocation of responsibility: if you use the Service in the commercial environments described above, you bear the risk alone. If your use case requires enhanced security, SLA support, or audit-compliant data hosting, please obtain written confirmation from us first at support@getcinex.app; until such written confirmation is obtained, CineX is not liable for any data disclosure or business delay in those scenarios.

Termination of license and breach: if you use the Service beyond the scope of the license granted by this Agreement, it will be treated as a material breach of this Agreement. In that case: (i) all licenses granted under this Agreement terminate immediately; and (ii) all disclaimers and limitation-of-liability provisions in this Agreement remain in full force and are strictly enforced.

Third-Party Rights and Likeness Compliance

This app lets you import video files containing people and convert and play them on your own device. Where a given use does require authorization under applicable law — for instance publication, use as marketing material, or provision to third parties — you represent and warrant that you have obtained it for the capture, storage and use of that footage, and that it complies with applicable portrait and privacy law. Uses the law permits anyway, such as private viewing within your own household and family, are not further restricted by this clause. You must not use other people's footage processed through this app for any purpose beyond legitimate personal use. You alone bear any portrait-rights or privacy dispute arising from a breach of this clause, and you will indemnify CineX for losses it suffers as a result.

CineX claims no ownership or intellectual property rights in your User Content. Your content always belongs to you or your licensors.

No Aggregated Statistics or Algorithm Improvement

CineX does not collect any usage statistics or aggregate data. The app contains no analytics, tracking, or crash-reporting components. We do not use your content for any model training, algorithm improvement, or benchmark reporting, and we do not use any of your data for commercial purposes.

Copyright and Intellectual Property Policy

CineX respects the intellectual property of others and expects the same of its users. Please also understand the structure of this product: CineX is a conversion and playback tool that runs on your device. It supplies no video content to users, operates no service for users to upload, publicly share or host media, and receives no file you import through any server of ours. There is accordingly no 'user account' here for us to terminate, and we cannot restrict from a distance anyone's continued use of a local tool already installed on their device.

The Service runs entirely on your device: user content (including the video files you import and the audio and subtitle tracks inside them) is stored only on your own device, and CineX cannot access, control or delete it. CineX is therefore not a host of user content and bears no responsibility for the lawfulness, accuracy or copyright status of any material you upload, import or process through the Service. You should satisfy yourself that you are entitled under applicable law to use the files you import, and reproduce, convert and further share them only within what the law allows or an appropriate license covers; using this app does not grant you any right that the original owner has not given you. Some jurisdictions permit private copying, fair use or other statutory exceptions without item-by-item consent from rights holders, and nothing in these terms alters those arrangements. The app provides no means of circumventing digital rights management or any other effective technological measure.

Infringement complaints about our own material

If you believe that material we actually control and distribute — the application itself, bundled assets, or promotional content — infringes your intellectual property, please send us a complaint at the address below:

Please provide enough information for us to locate the issue: the material you say is infringed, the right you claim and your contact details, together with a statement that you have a good-faith belief the use is not authorised by the rights holder, its agent, or the law. Once verified, we act in accordance with applicable law and by whatever technical means are genuinely available to us.

CineX operates no hosting system that could remotely view, delete or stop the private media files inside a user's device. We cannot, and will not attempt to, delete content stored on your device or remotely disable the app you have already installed. For allegedly infringing material stored or disseminated on another platform, please approach the platform or channel that actually controls it — only they have the technical ability to take it down or delete it. Nothing in this section excludes liability CineX may bear under law, and nothing limits a rights holder's right to seek remedies under law.

Automated Analysis and Algorithmic Limitations

On-Device Processing

The Service's transcoding, media recognition, and metadata reading are all performed locally on your device. You understand and agree that these features are deterministic media-processing workflows, not self-aware artificial intelligence. Your media files are read and processed only on the current device and are never sent to any third-party service provider.

Non-Deterministic and Probabilistic Risk

You acknowledge that the parsing of media containers and the results of transcoding depend on the quality of the source file itself. CineX does not guarantee that every non-standard container, damaged file, or unusual encoding can be successfully recognized or converted, nor that the converted result will look exactly like the source. When the source file is defective, transcoding may fail or produce abnormal output.

Duty of Human Verification and Disclaimer for Use Decisions

The information CineX provides is supporting reference material only, not a decisive judgment. You acknowledge and agree that you bear the final duty of verification. You bear all risk arising from relying on the software to process your media files. CineX is not liable for any loss of footage, duplicated work, or other business damage caused by transcoding results, file recognition, or metadata judgments.

Not a Professional Substitute; Final Decision Authority

CineX is provided solely as a media processing and reference tool. You expressly acknowledge and agree that: (i) the app is in no way intended to replace the professional judgment of professional transcoding, editing, or color-grading personnel; (ii) any transcoding results, media recognition, and metadata provided by the app are reference material, not instructions; and (iii) you should verify for yourself all files generated by the app before they enter a formal workflow (including but not limited to editing, publishing, or archiving). CineX and its developer expressly disclaim any liability for asset damage, duplicated work costs, or publishing delays resulting from reliance on the app's output.

Data Security

Transcoding and media analysis run entirely in a local loop on your device and do not depend on external cloud processing services or third-party processing APIs; this also means that processing speed depends on your local hardware.

Technical and Hardware Dependencies

Transcoding and hardware encoding capabilities depend heavily on the codec frameworks provided by iOS and on your device's hardware performance. As iOS is updated, the codecs available and their behavior may change. We do not guarantee that these features will perform on older devices or earlier versions of iOS in the same way as on the latest devices.

Not Professional Advice; Tool Only

You acknowledge that the app processes media files only according to the parameters you set, and that this does not constitute a professional judgment as to image quality, color, artistic effect, or content compliance. You acknowledge that CineX is a media processing tool, not a professional adviser, and therefore CineX assumes no liability arising from the processing parameters you choose.

No Professional Assurance; High-Risk Waiver

You expressly agree that CineX is solely a video transcoding and playback tool, not an insurance service or professional adviser. CineX and its developer will not be liable for any interruption of work, loss of assets, or cost overruns of any kind caused by software failure, data corruption, battery depletion, or user error. You should always keep an independent backup of your original video files.

Intellectual Property

The proprietary information and materials contained in the Service (including but not limited to designs, audio, code, interfaces, and trademarks) are owned by CineX and protected by intellectual property laws. You may not copy, modify, distribute, sell, or otherwise exploit this content in any form without our prior written authorization.

Trade Secrets and Confidentiality Agreements

You acknowledge that CineX runs entirely on your device and that data is stored only on your device. Because we cannot access your data, CineX cannot enter into or perform a confidentiality agreement (NDA) for any particular project. Responsibility for protecting unpublished content rests entirely with you, the user. If content is disclosed as a result of your device being lost or compromised, you agree to bear the resulting legal liability alone.

Unsolicited Feedback

If you voluntarily submit suggestions, ideas, concepts, or other feedback about the Service (“Feedback”), you retain any rights you have in the Feedback and grant CineX a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable, and transferable license to use, copy, modify, adapt, develop, distribute, and commercialise the Feedback in order to improve, operate, or promote CineX. This license does not cover media content, personal information, or third-party materials that you did not submit as Feedback, and it does not require CineX to use or respond to the Feedback or to compensate you. Rights that cannot lawfully be waived or transferred remain unaffected.

Apple's Role and Third-Party Beneficiaries

Apple Has No Liability

You understand and agree that the developer of CineX, and not Apple, is solely responsible for the Service and its content. Apple has no obligation to provide you with any maintenance or support in connection with the Service.

Third-Party Beneficiaries

You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your download of the Software from the App Store and your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce the portions of this Agreement that relate to it against you as a third-party beneficiary.

Disclaimers and Limitation of Liability

Exceptions to Statutory Liability

Nothing in this Agreement excludes or limits liability for death or personal injury caused by CineX’s negligence, fraud or fraudulent misrepresentation, willful misconduct, or any other liability that cannot lawfully be excluded or limited. Nothing in this Agreement excludes or limits mandatory consumer rights that you have under the law of your jurisdiction and that cannot be waived by contract; any limitation of liability applies only to the extent permitted by applicable law.

Disclaimer

To the maximum extent permitted by applicable law, the Service is provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind. We expressly disclaim all express or implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

You understand and agree that CineX is a media processing tool and does not provide any professional consulting or content hosting services. All transcoding results, media recognition, and metadata produced by the app are for your own reference only, and must not be used as the sole basis for any formal publishing or archiving. CineX and its developer will not be liable for any direct, indirect, incidental, special, or consequential damages arising from software errors, changes in codec behavior caused by system updates, or loss of assets caused by file parsing errors.

Your Duty to Verify

You expressly acknowledge and agree that CineX's transcoding and media recognition results must be verified by you. You undertake to confirm the completeness and accuracy of the results yourself before using them for any formal purpose (including but not limited to publishing, archiving, or delivering them to others). CineX is not an insurer and is not liable for any loss of assets, duplicated work costs, or storage space consumed as a result of relying on the app's output.

Data Integrity and Backup Responsibility

You acknowledge that CineX is an application that runs locally on your device. Your media content and app data are stored only locally on your device; apart from the three Keychain records (the free-allowance counter, the Sign in with Apple identifier, and the marker recording that you have deliberately signed out), which Apple syncs between your own devices through iCloud Keychain, this app provides no other cloud sync or backup. You agree that the developer of CineX bears no restoration duty for irreversible data loss caused by iOS system updates, failed local database migrations, device damage or accidental deletion, and that you must keep a separate backup of your original video files.

Exclusion of Specific Losses

CineX and its developer expressly disclaim liability for: (i) assets becoming unusable as a result of failed transcoding, abnormal output, or file recognition errors; (ii) battery consumption, storage space used, or device heat generated by transcoding's use of device resources; and (iii) duplicated work caused by the loss of local records such as the transcoding queue or playback progress.

Limitation of Liability (Hard Cap)

To the extent liability may lawfully be limited, and without affecting the “Statutory Liability Exceptions” in this Agreement or any consumer rights that cannot be waived, CineX’s aggregate monetary liability arising out of this Agreement or the Service will not exceed the greater of fifty US dollars (50.00 USD) and the total amount you actually paid for CineX through the App Store during the twelve (12) months preceding the event giving rise to the claim. This floor applies to non-paying users as well, so users of the free version also have a defined, enforceable liability cap. Any liability that cannot lawfully be excluded or limited is not subject to this cap.

Safety of Use

Transcoding is a demanding computation that may cause your device to heat up and drain its battery quickly. Please pay attention to your device's condition and your surroundings while using CineX. CineX is not liable for any personal injury or device damage caused by your distraction or negligence while using the Service.

Your Indemnification

You agree, to the maximum extent permitted by law, to defend, indemnify, and hold harmless CineX and its affiliates, officers, directors, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts, and expenses (including but not limited to reasonable attorneys' fees and litigation costs) arising out of or relating to:

(a) your use or misuse of the Service, including any content you submit, post, transmit, or otherwise make available through the Service;

(b) your breach of any term of this Agreement;

(c) your infringement of any third party's rights, including but not limited to intellectual property rights, privacy rights, reputation rights, or other personal rights;

(d) your violation of any applicable law, regulation, or rule; and

(e) any willful misconduct or gross negligence on your part in using the Service.

This indemnification obligation survives termination of this Agreement. CineX reserves the right to assume the exclusive defense and control, at its own expense, of any indemnified matter, and you agree to cooperate with CineX in defending any claim.

Global Trade Compliance and Export Controls

Technology export controls: you acknowledge that the Service, its software components, and related technical data (collectively, the "Controlled Items") are subject to the U.S. Export Administration Regulations (EAR), the sanctions regulations of the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), and the laws of your jurisdiction.

Sanctioned Regions and Blacklisted Entities

You represent and warrant that: (i) you are not located in Cuba, Iran, North Korea, Syria, Russian-occupied regions (such as Crimea, Luhansk, and Donetsk), or any other country or region subject to a comprehensive U.S. embargo; and (ii) you are not listed on the U.S. Department of Commerce Entity List, the Denied Persons List, or OFAC's Specially Designated Nationals (SDN) List.

Prohibited Uses

You represent and warrant that you will not use the Service to develop, design, manufacture, or use nuclear weapons, chemical or biological weapons, missile technology, or mass surveillance systems. You further undertake that you will not, without a license from the U.S. Department of Commerce Bureau of Industry and Security (BIS), provide the Service to military end users in U.S.-embargoed countries, or use the encryption technology contained in the Service in a manner that violates local cybersecurity laws or to develop conventional weapons delivery vehicles or unauthorized surveillance technology.

Right to Terminate for Non-Compliance

If applicable law prohibits us from offering new versions, transactions or support to a particular region, party or end use, we will stop the corresponding future provision to the extent the law requires and it is technically enforceable. The installed app and the files on your device are controlled by your device: the current version provides no function by which the developer could remotely disable an installed app, remotely delete your files, or block a single device.

Governing Law and Dispute Resolution

Governing Law

This Agreement and the contractual rights and obligations under it are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict-of-law rules.

If you qualify as a consumer under applicable law, this choice of Ohio law does not deprive you of the protection afforded by the law that would otherwise apply in the absence of this choice, where that protection cannot be excluded or limited by contract. Where applicable law requires other mandatory provisions to apply to particular matters, those provisions apply to the extent required by that law.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.

Dispute resolution

If a dispute arises out of or in connection with this Agreement or the Service, the parties may first seek to resolve it amicably through the contact details set out in these terms.

If the dispute is not resolved through such consultation, or where either party is entitled under applicable law to bring a claim directly, either party may, in accordance with applicable law, bring the matter before a court of competent jurisdiction or another body lawfully empowered to decide it.

This Agreement does not designate any court as having exclusive jurisdiction and does not require disputes to be resolved through mandatory arbitration. If you qualify as a consumer under applicable law, this clause does not limit your rights of action, statutory remedies, or other procedural rights that cannot be excluded or waived by contract.

General Provisions

Changes to These Terms

We may update this Agreement for legal or regulatory requirements, security, technical compatibility, changes to functionality, or the operational needs of the Service. Updates apply prospectively and do not retroactively reduce rights or benefits you have already acquired or paid for. Where a change may materially and adversely affect your rights or your use of the Service, we will give clear advance notice in the app or by another appropriate method. Where applicable law requires a valid reason, notice on a durable medium, express consent, or a right to terminate, we will comply with that law. Continued use after an update constitutes acceptance only to the extent permitted by applicable law.

This Agreement constitutes the entire agreement between you and CineX with respect to your use of the Service and supersedes any prior agreement between you and CineX on the same subject matter.

If any provision of this Agreement is held invalid, unlawful or unenforceable in a particular situation, that provision shall be ineffective only in that situation and only to the extent necessary. The remaining provisions continue in effect, except where applicable law requires the Agreement as a whole to cease to be effective.

No provision of this Agreement shall be construed as excluding or limiting any right under applicable law that cannot be excluded or limited by contract.

CineX's failure to enforce any right or provision of this Agreement does not constitute a waiver of that provision or of any other provision.

CineX is not liable for any failure to perform caused by circumstances beyond its control (such as force majeure events, natural disasters, war, terrorist attacks, or cyberattacks).

You agree to comply with all local, state/provincial, federal, and national laws, statutes, ordinances, and regulations applicable to your use of the Service.

No employee or agent of CineX has the authority to modify this Agreement.

Special Provisions for International Users

Nothing in this Agreement excludes or limits any mandatory rights you have under the consumer laws of your jurisdiction that cannot be waived by contract. If the limitation of liability provisions of this Agreement are held unenforceable under local law, CineX's liability will be limited to the amount you actually paid in the 12 months preceding the claim.

Export compliance: you agree to comply with all applicable export control laws of the United States, the European Union, and the United Kingdom, and not to use the Service in sanctioned regions.
